This document outlines the legal terms and conditions (the "Terms") between you (the "User") and Kiniqe Consulting Limited ("Kiniqe," "we," "us," or "our") regarding the use of the mobile application Kiniqe PaperModel (the "App") and its associated services. By accessing, downloading, installing, or using the App, you agree to be bound by these Terms.

I. General and Contractual Foundation

1. Acceptance of Terms

By using the App, you acknowledge that you have read, understood, and agree to these Terms. If you do not agree, you must not use or access the App.

2. Changes to Terms

We reserve the right to modify these Terms at any time. We will notify you of changes by posting the updated Terms within the App or on our website. Your continued use of the App after any such changes constitutes your acceptance of the new Terms.

3. Eligibility

You must be at least thirteen (13) years of age to use the App. If you are under the age of majority in your jurisdiction, you represent that you have reviewed these Terms with your parent or legal guardian, who agrees to these Terms on your behalf.

4. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the Province of Ontario, Canada, without regard to its conflict of law principles.

II. Intellectual Property & Content Rights

A. Kiniqe's Property

5. App and AI Ownership

Kiniqe Consulting Limited retains all rights, title, and interest in and to the App, including its software, code, user interface, trademarks (Kiniqe PaperModel), and the underlying AI model, algorithms, and training methodologies.

6. Garment Asset Ownership

The proprietary encoded garment designs and data available within the App are the exclusive property of Kiniqe or its licensors. These assets are licensed, not sold, to you and are only for use within the confines of the App for generating images.

B. User Content Input (The Photo Uploads)

7. User Representation of Rights (Your Photo Input)

When you upload a photo ("User Input"), you represent and warrant that:

• You are the creator and owner of the User Input or have all necessary rights and licenses to use and grant the licenses hereunder.
• You have obtained the express consent of any person depicted in the User Input.
• You acknowledge that uploaded photos may contain sensitive personal data, including biometric-adjacent data (e.g., face and body shape).

8. License Grant to Kiniqe (Input Use)

You grant Kiniqe Consulting Limited a worldwide, non-exclusive, royalty-free license to use your User Input solely for the purpose of generating the requested AI image output and providing the service to you. Kiniqe Consulting Limited does not use your User Input to improve or train its AI model.

C. AI-Generated Output (The Final Image)

9. Ownership of Output

Subject to your compliance with these Terms, you retain the intellectual property rights to the final, unique AI-generated images created through your use of the App and your User Input ("Output").

10. License to the User (Output Use)

You are granted a personal, non-exclusive license to use, display, reproduce, and share the Output for non-commercial purposes. If you intend to use the Output commercially (e.g., for sale, advertising, or generating revenue), you must obtain a separate, written license agreement from Kiniqe Consulting Limited.

III. User Conduct and Restrictions

11. Prohibited Input Content (AI Safety)

You must not upload, select, or prompt the generation of content that is:

• Illegal, harmful, harassing, or defamatory.
• Sexually explicit or abusive (especially involving minors).
• Hateful or discriminatory (based on race, religion, gender, etc.).
• Infringing on third-party intellectual property or privacy rights.

12. Content Monitoring and Removal

We reserve the right (but not the obligation) to monitor User Input and Output. We may remove or disable access to any content found to violate these Terms, at our sole discretion, without prior notice or liability.

13. API/Automated Access

You are strictly prohibited from using any automated means (e.g., bots, scripts, spiders) to access, scrape, or otherwise interact with the App.

14. Prohibited System Misuse

You must not engage in any activity that interferes with or disrupts the integrity or performance of the App or its related systems. This includes, but is not limited to:

• Hacking, attempting to gain unauthorized access, or circumventing any security, usage, or payment features.
• Introducing viruses, Trojan horses, or any other harmful code or materials.
• Using the App in a way that imposes an unreasonable or disproportionately large load on our infrastructure (e.g., denial-of-service attacks).

15. Conduct Towards Kiniqe Staff

You must interact with Kiniqe Consulting Limited's employees, agents, and associates in a civil and polite manner. We maintain a zero-tolerance policy for any form of harassment, abuse, threats, or aggressive behavior (verbal or written) directed at our staff or representatives. Violation of this clause is considered a material breach of these Terms and may result in immediate and permanent account termination.

IV. Accounts, Fees, and Subscriptions

16. Account Security

You are responsible for maintaining the confidentiality of your account details and for all activities that occur under your account.

17. Subscription Terms

The App generally operates on a subscription model. However, during any Beta or limited testing period, Kiniqe Consulting Limited may grant you limited usage access, which may be revoked, modified, or terminated at any time without notice at our sole discretion. Any formal subscription payments, renewals, and refunds will be detailed at the point of purchase and are generally non-refundable for digital services.

V. Privacy and Data Handling

18. Reference to Privacy Policy (Mandatory)

The collection and use of your personal data, including the photos you upload, is governed by our separate Privacy Policy. By using the App, you acknowledge that you have read and agree to our Privacy Policy, available at: https://kiniqe.com/privacy-policy.

19. Data Retention

Uploaded photos and generated images may be stored on our servers as long as you do not delete them through the provided interface. However, we reserve the right to delete images and photos that violate these Terms or to delete them to reclaim system resources at our sole discretion.

VI. Disclaimers and Liability

20. "AS IS" Disclaimer

The App and its services are provided on an "AS IS" and "AS AVAILABLE" basis. We make no warranties, express or implied, regarding the App's fitness for a particular purpose or its uninterrupted or error-free operation.

21. AI Output Disclaimer

You acknowledge that AI-generated images may be imperfect, inaccurate, unrealistic, or fail to render the selected garment correctly. Kiniqe makes no warranty regarding the quality, completeness, or suitability of the Output.

22. Limitation of Liability

To the maximum extent permitted by law, Kiniqe Consulting Limited shall not be liable for any indirect, incidental, special, or consequential damages. In any event, our total liability to you shall not exceed the greater of fifty Canadian dollars (CAD $50.00) or the amount you paid to us in the one (1) month immediately preceding the event giving rise to the claim.

23. Indemnification

You agree to indemnify, defend, and hold harmless Kiniqe Consulting Limited from any claims, damages, liabilities, and expenses (including legal fees) arising from your misuse of the App or your breach of these Terms, particularly concerning third-party intellectual property or privacy claims related to your User Input.

VII. iOS and Termination Provisions

24. Apple Store Terms

You acknowledge and agree that you must comply with the App Store Terms of Service, and that you are an "End-User" of the license granted herein.

25. Termination

We may suspend or terminate your account and access to the App immediately if you materially breach these Terms. You may terminate your account at any time by deleting the App and notifying us.

26. Survival

Sections 5, 6, 7, 9, 10 (commercial restriction), 14, 15, 20, 21, 22, 23, and 26 shall survive the termination or expiration of these Terms.

• To develop new products, services, features, and functionality.

4. AI and Image Processing

Our application uses advanced AI technologies, such as image generation models, to create virtual try-on experiences. By using the service, you acknowledge that your uploaded images and generation parameters will be processed by these AI systems.

5. Data Storage and Security

We store your information on secure servers. We use a variety of security measures to protect your personal information. However, no method of transmission over the Internet or method of electronic storage is 100% secure.

6. Sharing Your Information

We do not share your personally identifiable information with third parties except as described in this Privacy Policy. We may share information with the following parties:

• With Your Consent: We may share your images with our support staff only after receiving your explicit permission to do so.
• Service Providers: We may share information with third-party vendors and service providers that perform services for us or on our behalf.

Since we only use technologies that are strictly necessary to provide the service you have requested, we do not provide a separate consent banner or opt-out mechanism for these cookies.

Withdrawing Consent/Opting Out: The only way to stop the setting of these essential cookies is to log out of the service or refrain from initiating a payment transaction. Clearing cookies via your browser settings will immediately log you out.

"Do Not Sell or Share My Personal Information" (CCPA/CPRA): Kiniqe Consulting Limited does not sell or share the data collected via these strictly necessary session and security cookies for cross-context behavioral advertising or marketing purposes. Therefore, an explicit "Do Not Sell/Share" link is not required for these specific technologies.
